Entity: Algor Terminal

Jurisdiction: Global SaaS Operations (US/UK Regulatory Aligned)

1. Technology Provider Exemption

1.1 Software-as-a-Service Classification: Algor Terminal operates exclusively as a financial technology vendor and Software-as-a-Service (SaaS) provider. We provide cloud infrastructure for signal routing, code compilation, and simulated testing.

1.2 Non-Broker-Dealer Status: Algor Terminal is NOT a registered broker-dealer, introducing broker, investment adviser, Commodity Trading Advisor (CTA), or financial institution under the jurisdiction of the SEC, FINRA, CFTC, FCA, or any other global regulatory body. We do not custody client funds, clear trades, or execute transactions directly on any exchange.

1.3 No Financial Advice: No functionality within Algor Terminal—including AI-generated Pine Script, strategy templates, or quantitative indicators—should be construed as personalized investment advice or a fiduciary recommendation.

2. Mandatory CFTC Rule 4.41 Disclosure

2.1 Application to Sandbox & Backtesting: Algor Terminal provides a simulated "Sandbox" environment and facilitates historical backtesting. Global regulators require the explicit acknowledgment of the limitations inherent in simulated trading systems.

THESE RESULTS ARE BASED ON SIMULATED OR HYPOTHETICAL PERFORMANCE RESULTS THAT HAVE CERTAIN INHERENT LIMITATIONS. UNLIKE THE RESULTS SHOWN IN AN ACTUAL PERFORMANCE RECORD, THESE RESULTS DO NOT REPRESENT ACTUAL TRADING. ALSO, BECAUSE THESE TRADES HAVE NOT ACTUALLY BEEN EXECUTED, THESE RESULTS MAY HAVE UNDER- OR OVER-COMPENSATED FOR THE IMPACT, IF ANY, OF CERTAIN MARKET FACTORS, SUCH AS LACK OF LIQUIDITY.

SIMULATED OR HYPOTHETICAL TRADING PROGRAMS IN GENERAL ARE ALSO SUBJECT TO THE FACT THAT THEY ARE DESIGNED WITH THE BENEFIT OF HINDSIGHT. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THESE BEING SHOWN.

3. Algorithmic & Webhook Execution Risks

By connecting your live brokerage account to Algor Terminal's webhook routing infrastructure, you accept all technological risks associated with automated trading.

  • Webhook Delivery Failures: Algor Terminal relies on third-party charting platforms (e.g., TradingView) to generate and dispatch HTTP POST webhook requests. We are not liable for missed trades resulting from charting platform outages, delayed alert triggers, or dropped network packets.
  • Broker API Latency & Slippage: Orders routed through Algor Terminal are subject to internet latency and brokerage execution delays. We do not guarantee execution prices. Users assume full liability for slippage resulting from high volatility or low liquidity environments.
  • Third-Party Downtime: Algor Terminal is not responsible for financial losses incurred during scheduled or unscheduled API maintenance by your connected brokerage firm.
  • Logic Loops & Erroneous Orders: The user is solely responsible for the mathematical logic, syntax, and order frequency of their algorithms. We are not liable for excessive broker commission fees or capital losses caused by runaway scripts or recursive webhook loops.

4. AI Code Generation Liabilities

4.1 Natural Language Processing Limitations: The Algor Studio UI utilizes AI to compile natural language into execution code (e.g., Pine Script). While designed for accuracy, the engine may misinterpret complex or ambiguous financial instructions.

4.2 User Verification Duty: You agree that any script generated by Algor Terminal's AI must be mathematically and logically verified by you in a simulated paper trading environment prior to deploying live capital.
