1. Nature of Service & Platform Classification

1.1 Software-as-a-Service (SaaS) Provider: Algor Terminal ("the Platform", "we", "us", or "our") is an independent technology project and algorithmic software suite developed and operated by Algor Terminal. The Platform provides interactive charting, quantitative analysis tools, strategy logic builders, and automated webhook execution pipelines designed for self-directed retail traders.

1.2 Non-Brokerage & Non-Advisory Status: Algor Terminal is NOT a registered broker-dealer, introducing broker, investment adviser, commodity trading advisor (CTA), or financial institution in the United States (under the SEC, FINRA, or CFTC), the United Kingdom (under the FCA), or any other jurisdiction.

1.3 No Brokerage Services: We do not open, hold, manage, or maintain customer brokerage accounts; we do not custody fiat currency, securities, or digital assets; and we do not clear or settle financial transactions.

2. No Investment Advice or Solicitation

2.1 Informational & Educational Use Only: All software functionality, quantitative indicators, backtesting modules, AI-generated logic assistance, and automated signal pipelines provided by Algor Terminal are strictly for informational, educational, and technical execution purposes.

2.2 No Recommendations: Nothing contained within the Platform constitutes a recommendation, solicitation, or endorsement to buy, sell, hold, or trade any security, equity, cryptocurrency, option, or financial instrument.

2.3 User Responsibility: Users acknowledge that algorithmic and active trading involves substantial risk of capital loss. The user is solely and exclusively responsible for evaluating the merits and risks associated with the use of any strategy, parameter, or automated pipeline. Algor Terminal makes no representations regarding the future profitability or performance of any trading strategy.

3. Strict Prohibition of Copy, Mirror, and Social Trading

3.1 Self-Directed Use Exclusively: Algor Terminal is licensed solely for individual, self-directed use. Every trading strategy, indicator, and webhook pipeline created or executed on the Platform must be formulated, configured, and managed by the individual account holder for their own personal use.

3.2 Prohibited Trading Models: In strict compliance with our brokerage integration partners' policies, users are explicitly prohibited from using Algor Terminal to engage in:

  • Copy Trading: Automatically replicating another user's or third-party trader's portfolio, orders, or trade executions.
  • Mirror Trading: Pooling, mirroring, or distributing a lead trader's signals or strategies across multiple external client brokerage accounts.
  • Social / Influencer Trading: Subscribing to, broadcasting, or automatically executing trades based on the public or private recommendations of influencers, social networks, or signal broadcast groups.

3.3 Enforcement & Account Termination: Any attempt to utilize Algor Terminal for unauthorized signal distribution, asset management for third parties, or copy/mirror trading will result in immediate termination of the user's SaaS license, permanent revocation of connected OAuth brokerage tokens, and reporting to the relevant brokerage partner.

4. Third-Party Brokerage Integrations & OAuth 2.0

4.1 Independent Brokerage Relationship: Users may elect to link their independent brokerage accounts via secure OAuth 2.0 or API integrations. All brokerage, execution, margin, and custody services are provided exclusively by the user's connected broker-dealer under their separate customer agreement with that respective broker.

4.2 No Agency or Endorsement: Algor Terminal is an independent technology vendor and is not an agent, affiliate, or representative of any integrated brokerage firm. Mention of specific brokerage integration partners on our website is strictly for technical interoperability purposes and does not imply endorsement by the broker.

5. System Performance, Latency, and Risk Acknowledgement

5.1 Technology Risks: Automated algorithmic trading relies on complex internet infrastructure, third-party APIs, and serverless computer networks. Users acknowledge that Algor Terminal is subject to technical limitations, including but not limited to network latency, server downtime, third-party API rate-limiting, exchange outages, and connectivity failures.

5.2 Execution Responsibility: Algor Terminal does not guarantee that any automated order signal will be successfully routed, executed, or filled at a specific price. Users are solely responsible for monitoring their live brokerage accounts and managing open positions directly through their broker's interface.

6. Limitation of Liability & Indemnification

6.1 "As-Is" Provision: The Platform and all associated software services are provided on an "as-is" and "as-available" basis without express or implied warranties of any kind, including merchantability or fitness for a particular purpose.

6.2 Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall Algor Terminal, or its developers be liable for any direct, indirect, incidental, consequential, or punitive damages—including but not limited to trading losses, lost profits, execution delays, or data corruption—arising out of or related to the use of the Platform.

6.3 Indemnification: Users agree to defend, indemnify, and hold harmless Algor Terminal and its developers from any legal claims, regulatory actions, or financial losses arising from the user's trading activities, breach of this Agreement, or violation of applicable securities laws.

7. Modification and Governing Law

7.1 Amendments: We reserve the right to modify these Terms of Service at any time. Continued use of the Platform following any posted modification constitutes acceptance of the updated terms.

7.2 Governing Law: This Agreement shall be construed and governed in accordance with the laws of England and Wales, without regard to conflict of law principles, while respecting applicable federal and state regulations governing United States securities trading where U.S. end-users are involved.
